What We Do - Transactions

We have represented insurance industry clients on transactional matters since the founding of our firm.  During that time, we have handled transactions that cover a full range of product lines and involve virtually every participant in the insurance industry.  Some examples of our experience include:

  • M&A involving publicly traded and privately owned insurers, reinsurers, brokers, MGAs and TPAs.  We have significant firm resources in the areas of corporate and securities, tax, antitrust and due diligence, as well as insurance and reinsurance regulation.

  • Advising on R&W policies associated with M&A, project finance and other transactions on both buy and sell side, and acting as underwriters' counsel.

  • Structuring and advising on new insurance and reinsurance company formation, joint ventures, investments, captive programs, capital markets transactions, alternative risk sharing and reinsurance, including catastrophe bonds, funding programs, insurance wraps, swaps and derivatives, and private and 144(a) placements of securities and surplus notes.

  • Advising on tax issues related to premium deductibility, excise taxes on premiums, Subpart F, engaging in trade or business, loss reserving and loss reserve discounting, parental guarantee of reserves, withholding taxes, and available elections.

  • Commutation of reinsurance obligations for US and foreign insurers and reinsurers.

  • Advising on enterprise risk management for corporate insureds through the identification of insurable risks and mitigation of those risks through insurance solutions, including the utilization of captive insurance programs.

  • Advising on reorganizations and receiverships of insurers and reinsurers.
